Terms of Service

These Terms of Service ("Terms") govern your access to and use of TrosteLens (the "Service"), provided by Troste LLC ("TrosteLens", "we", "us"). By accessing the Service, you agree to these Terms. If you don't agree, don't use the Service.

1. The Service

TrosteLens is a Microsoft 365 license usage analytics service. We may add, modify, or discontinue features over time. Material changes affecting your subscription will be communicated to you in advance.

2. Account and authority

To use the Service, you must sign in with a Microsoft account that has tenant administrator privileges or has been granted the necessary admin consent to authorize the Service's Microsoft Graph permissions. You represent that you have authority from your organization to bind it to these Terms and to grant the access the Service requires.

You are responsible for the security of your account credentials and for all activity under your account. Notify us promptly of any unauthorized use.

3. Permissions and data access

The Service requests read-only Microsoft Graph permissions (User.Read.All, Organization.Read.All, Directory.Read.All). It does not modify users, licenses, or directory data. You can revoke our access at any time through the Microsoft Entra admin center.

4. Subscriptions and billing

  • Pricing. The Service is offered at $3 per active user per month, billed monthly in U.S. dollars. Pricing may change with at least 30 days' notice; existing subscriptions remain at their current price for one billing cycle after a price change announcement.
  • Free trial. New accounts receive a 14-day full-access free trial. No payment method is required to start. After the trial, the account moves to read-only until you subscribe.
  • Quantity adjustments. Your billable user count is updated based on active users in your tenant on each billing date. Adjustments are prorated through Stripe.
  • Payment processing. Payments are processed by Stripe, Inc. By subscribing, you also agree to Stripe's terms.
  • Refunds. Subscription fees are non-refundable except where required by law. Cancel at any time to stop future renewals.
  • Late payment. If a payment fails, we'll retry through Stripe and notify you. Continued failure may result in suspension or downgrade to read-only.

5. Cancellation

Cancel at any time through the Stripe Customer Portal inside your TrosteLens account. You retain access through the end of the current billing period; no refund is issued for unused time.

6. Acceptable use

You agree not to:

  • Use the Service to violate any law or third-party right.
  • Attempt to disrupt, overload, or compromise the Service or other customers' use of it.
  • Reverse engineer, scrape, or attempt to derive the source code of the Service, except where permitted by law.
  • Use the Service to make automated decisions that legally or significantly affect individuals without appropriate human oversight.
  • Resell or sublicense the Service without our written agreement.

7. Your data

You retain all rights to the data you provide or that we collect from your tenant on your behalf ("Customer Data"). You grant TrosteLens a limited license to process Customer Data solely as needed to provide the Service. We process Customer Data per our Privacy Policy.

On termination, you may export your scan results before deletion. We delete Customer Data within 30 days of account termination, except where retention is required by law.

8. Intellectual property

The Service, including its software, design, and branding, is owned by Troste LLC and protected by intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. We reserve all rights not expressly granted.

9. Confidentiality

Each party will protect the other's non-public information disclosed under these Terms with the same care it uses for its own confidential information (and no less than reasonable care). This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANALYSIS RESULTS WILL BE COMPLETELY ACCURATE. YOU ARE RESPONSIBLE FOR THE LICENSING AND OPERATIONAL DECISIONS YOU MAKE BASED ON THE SERVICE.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUES, OR DATA, ARISING OUT OF OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE FEES YOU PAID TO US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12. Indemnification

You agree to indemnify and hold us harmless from any third-party claims arising from your use of the Service in violation of these Terms or applicable law. We agree to indemnify you against third-party claims that your authorized use of the Service infringes a U.S. patent, copyright, or trademark.

13. Suspension and termination

We may suspend or terminate your access if you materially breach these Terms, fail to pay, or use the Service in a way that creates risk for us or other customers. You may terminate your account at any time. Sections that by their nature should survive termination (data, IP, disclaimers, limitations, indemnities, governing law) survive.

14. Governing law and disputes

These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-law principles. Any dispute arising under these Terms will be resolved exclusively in the state or federal courts located in Illinois, and each party consents to that jurisdiction.

15. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated to active customers at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

16. Miscellaneous

These Terms, together with our Privacy Policy, are the entire agreement between you and Troste LLC regarding the Service. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
